PacifiCare Health Systems, Inc. to Merge with UnitedHealth Group

We are pleased to announce that PacifiCare Health Systems, Inc. (PacifiCare) of Cypress, California has reached a definitive agreement to merge with UnitedHealth Group. UnitedHealthcare is a business unit of UnitedHealth Group.

This highly complementary merger will join UnitedHealthcare's national health services capabilities with PacifiCare's deep relationships in the West. Combining PacifiCare's strong local networks, brand reputation and product portfolio with UnitedHealthcare's national presence, technology and administrative capabilities will offer distinctive new opportunities in the market place. UnitedHealthcare and Neighborhood Health Partnership Merging

As of July 1, 2005, UnitedHealthcare and Neighborhood Health Partnership (NHP) have agreed to merge, with completion of the transaction expected by late fall. NHP is a leading South Florida HMO offering benefit plans to employers in Miami-Dade, Broward, and Palm Beach counties. There are approximately 135,000 NHP customers across the three counties. NHP's product success and expertise will complement UnitedHealthcare's product portfolio and will further enable UnitedHealthcare to meet the evolving employer needs across South Florida.
